Jones + Palmer Platform

Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Jones + Palmer platform - our websites and applications hosted at jp.tools, including www.jp.tools and Nexus (nexus.jp.tools), together with any other Jones + Palmer applications we make available at jp.tools (together, the "Platform"). The Platform is provided by Jones and Palmer Limited ("Jones + Palmer", "J+P", "we", "us", "our"), a company registered in England and Wales under number 00239324, whose registered office is at 87 Carver Street, Birmingham, B1 3AL, United Kingdom. Jones + Palmer has traded in Birmingham since 1906.

By signing in to or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. About the Platform

The Jones + Palmer platform is a suite of operations applications provided by Jones + Palmer. Access is provided to Jones + Palmer staff and to authorised users at client organisations, who are given scoped access to their own organisation's information within our applications. The Platform is not a public or self-service product; access is granted by Jones + Palmer. A single sign-on covers all our jp.tools applications.

2. Relationship to other agreements

If you use the Platform as an authorised user of a client organisation, your organisation's separate agreement with Jones + Palmer (for example, a master services agreement or engagement contract) governs the underlying services and takes precedence over these Terms in the event of any conflict. These Terms set out the rules for using the Platform itself and apply in addition to that agreement.

6. Intellectual property

The Platform, including its software, design, branding, and content (excluding Client Content), is owned by Jones + Palmer or its licensors and is protected by intellectual property laws. These Terms do not transfer any ownership in the Platform to you. The Jones + Palmer name and marks may not be used without our prior written permission.

7. AI-assisted features

The Platform includes AI-assisted features that generate suggestions, drafts, summaries, and answers. AI output may be inaccurate, incomplete, or unsuitable for a particular purpose, and does not constitute professional advice. You are responsible for reviewing AI output before relying on or acting on it. Human oversight applies to material decisions.

8. Availability, changes and support

We aim to keep the Platform available and reliable, but we do not guarantee it will be uninterrupted or error-free. We may modify, suspend, or discontinue applications or features, or carry out maintenance, at any time. Where your organisation has a separate service agreement with us, any service levels in that agreement apply.

9. Suspension and termination of access

We may suspend or withdraw your access to the Platform, in whole or in part, if you breach these Terms, if required for security or legal reasons, or if your organisation's relationship with Jones + Palmer ends or its access is changed. Provisions that by their nature should survive termination (including sections 5, 6, 10, 11 and 12) will continue to apply.

10. Disclaimers

To the fullest extent permitted by law, the Platform is provided "as is" and "as available", and we exclude all implied warranties, including as to merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes or limits anything that cannot lawfully be excluded or limited.

11. Limitation of liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under law. Subject to that, and to the fullest extent permitted by law, Jones + Palmer will not be liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, business, goodwill, or data. Where your organisation has a separate agreement with us, the liability provisions of that agreement govern the services.

12. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, save that we may bring proceedings in any jurisdiction where a breach occurs.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
